Terms

Ubik is a product of SIA Wyrd, a company registered in Latvia (European Union). The website runs on a single virtual machine at UpCloud in Frankfurt, Germany (EU).

Ubik is closed source. It is free to use for personal, noncommercial and evaluation purposes under the PolyForm Noncommercial License 1.0.0, which ships with the software as its LICENSE file and governs that use.

Commercial use, meaning use in or for a commercial product, service or organization, requires a paid licence from us. So does redistributing Ubik inside your own product (OEM). Tiers and prices are on the pricing page. Prices there are provisional while Ubik is pre-alpha, and nothing is billed yet.

Commercial tiers are sold by band, based on the size of your organization and the number of production instances you run, whichever reaches the higher tier. You tell us which band applies when you buy or renew. We may ask you to confirm it at renewal.

Payment runs through Paddle, which acts as merchant of record: your purchase contract for the transaction is with Paddle, and their terms cover payment, invoicing and refunds. The licence to use Ubik is granted by us, on the terms of this page.

Every tier receives the same complete binary. A licence key silences the startup notice and records the tier you bought. It unlocks no feature, raises no ceiling, and changes no result.

Nothing in Ubik is metered or throttled by licensing. The engine does not count your machines, your pipelines, your throughput, or anything else, and it cannot: it runs on a single node, opens no connection to us, and has no mechanism to observe a fleet. Your band is a contractual statement, not something the software enforces.

Keys are issued for one year. An expired, missing, or unrecognized key never stops Ubik and never degrades it: the software keeps running at full capacity and shows the notice again. A licence problem cannot become an outage.

Treat your key as confidential. It is issued to your organization, and sharing it outside your organization is a breach of these terms.

Do not remove, disable or circumvent the licence notice, and do not use Ubik commercially without a commercial licence. Do not redistribute Ubik inside a product you ship without an OEM licence.

You are responsible for what you run through Ubik. It executes SQL against data you supply, on infrastructure you control, and we see none of it.

Ubik is provided as is, without warranty or condition of any kind. This is the same position the PolyForm licence states, and it applies to paid tiers as well. A paid licence buys support, updates and the compliance paperwork, not a guarantee that the software is fit for a particular purpose.

Ubik is pre-alpha. Interfaces, formats and behaviour can still change between versions.

As far as the law allows, we are not liable for any damages arising out of these terms or out of the use or nature of the software, under any kind of legal claim. Where liability cannot be excluded, it is limited to the amount you paid us for Ubik in the twelve months before the claim.

A commercial licence runs for its term and lapses if it is not renewed. Lapsing returns you to the noncommercial terms, which means the software still runs and the notice returns; it does not mean you may keep using Ubik commercially.

The PolyForm licence sets out what happens if its terms are violated, including a 32 day window to come back into compliance after written notice.

These terms are governed by the laws of Latvia, and disputes fall to the courts of Latvia.

If these terms change materially, the date at the top changes with them. Changes do not apply retroactively to a licence term you have already paid for.
